Nature of Practice

Michael Bubman is a founder and managing partner of the firm of Mirman, Bubman & . For more than twenty years, Mr. Bubman has specialized in the areas of creditor’s rights, general business and commercial transactions and litigation and commercial and financial institutions litigation. During the past fifteen years, Mr. Bubman also has a health care dimension to his practice, including health care business transactions, litigation and regulatory issues for long term care providers, physicians and physicians’ organizations. Mr. Bubman also has extensive experience in the representation of Owners’ Associations, both Homeowners and Business Associations.

Summary of Practice Experience

  • Commercial Litigation
    Representation of financial institutions, business entities and individuals in all aspects of litigation, including pre-trial and trial experience in both state and federal courts, including Courts of Appeal (State and Ninth Circuit), arbitration and all forms of alternate dispute resolution. Issues include: disputes resulting from loans and lending relationships, including disputes regarding negotiable instruments, forged endorsements, Check 21 issues, inter-bank loan participation agreements; real estate related disputes regarding purchase contracts, secured transactions, lien and title disputes, property line and easement disputes and commercial unlawful detainers; disputes regarding all types of business transactions, partnership disputes, corporate dissolutions, business mergers and acquisitions. Representation of receivers in litigated matters, as well as commercial litigants in obtaining appointments of Receivers.
  • Business & Commercial Transactions
    Representation of financial institutions, business entities and individuals in transactional matters, including real estate leasing and sales, formation of business entities and business relationships, business acquisitions, loan workouts and forbearance agreements.
  • Long-Term Care
    Extensive experience with state and federal regulatory agencies regarding long term care issues, including temporary management and receivership issues (representation of Receivers and Temporary Managers before State and Federal Agencies and State Courts), as well as licensing and regulatory issues in both skilled nursing and assisted living facilities (including initial licensure, CHOWs, administrative proceedings, ADR and survey-related issues); Business issues relating to long term care facilities (both skilled nursing facilities and assisted living facilities) including establishment of entities/providers, contractual issues (negotiations, documentation and disputes), real estate related matters, including sales and complex lease transactions (negotiating and drafting of sale documents and facility leases).
  • Physicians and Physicians’ Organizations
    Representation of physicians in their general business dealings, as well as dealings with and among other physicians, including establishment of business organizations and business relationships; Analysis of physician practices and business ventures regarding compliance with Stark and anti-kickback/self-referral laws; Negotiation and documentation of employment/independent contracting relationships; Dispute resolution between and among physicians and their organizations, including mediation and litigation; Unwinding of business relationships between and among physicians.
  • Owners’ Association-related matters
    Representation of Homeowners’ Associations in general Davis-Sterling compliance, as well as resolution of disputes with and among homeowners. Representation of Business-owners’ Associations in relation to Association management and compliance with governing documents, as well as disputes with business owners and non-owner tenants.
